TERMS OF USE AND SALE

These Terms of Use and Sale (this "Agreement") cover important information about the services provided to you, the products you receive or purchase, charges and amounts we bill you, future changes to this Agreement, and automatic renewals. Please read them carefully.
1. Who We Are and How This Agreement Applies to You
Tikkun, Inc., with a principal place of business at 2500 San Gabriel Street, Austin, TX 78705, USA ("us", "we", "our" or "TIKKUN"), makes certain services, features, content, websites (or other linked pages), or applications available to you, from time to time (collectively with the TIKKUN hardware device containing an NFC chip that blocks apps (the "TIKKUN Device"), the "Service(s)").
This Agreement governs:
- your use of the TIKKUN Device, including any software embedded within it,
 - your Membership (subscription), including provision of a TIKKUN Device and access to the Services, and
 - your access and use of all Services.
 
This Agreement applies regardless of how you obtained a TIKKUN Device (purchase, Membership, Free Trial, or authorized reseller).
"You" refers to the individual or entity accessing or using the Services. If you are creating an account on behalf of a company, you represent you have authority to bind that company to this Agreement.
By using the Services or receiving a TIKKUN Device, you agree to be legally bound by this Agreement. If you do not agree, you are not authorized to use the Services or retain the Device.
We may modify this Agreement at any time. Modifications are effective upon posting. If a material change occurs, you may cancel and request a pro-rated refund of Membership Fees within 30 days of notice.
2. Registration and Accounts
- You must create an account to obtain a Membership.
 - You must provide accurate and up-to-date information.
 - You are responsible for keeping your password secure.
 - Unauthorized use of another's account is prohibited.
 - Notify us immediately of any security breach.
 
3. Eligibility
- You must be at least 13 years of age (or higher if required in your jurisdiction).
 - If under the legal age of majority, parental consent is required.
 - You may not access the Services where prohibited by law.
 
4. Use of the Services
- We grant you a limited, non-exclusive, non-transferable license to use the Services and software embedded in the Device for personal use only.
 - You may not resell, sublicense, copy, modify, reverse engineer, or misuse the Services.
 - Unauthorized use of intellectual property is prohibited.
 - Services are for personal, non-commercial use.
 
5. Membership
- An active Membership is required to use the Services.
 - Membership auto-renews unless canceled prior to renewal.
 - Billing terms (monthly, annual) are provided at signup.
 - Non-payment results in account suspension after 3 days.
 
6. Cancellation and Termination
- You may cancel your Membership at any time. Cancellation is effective at the end of the current billing cycle.
 - No prorated refunds for unused time.
 - Upon termination, your access to Services ends.
 
7. Free Trials
- TIKKUN may offer Free Trials.
 - Devices may be new or refurbished.
 - If you cancel, you must return the Device within five (5) days to 2500 San Gabriel Street, Austin, TX 78705 and in original condition.
 - Failure to do so results in a $75 restocking fee.
 - Special Tabling Scenario: If you cancel within 30 minutes of receiving a Device at a tabling event, you must return it within 1 hour. Failure → $50 restocking fee.
 
8. Payment of Fees and Sale Terms
- Fees are billed via Stripe.
 - You must maintain current and accurate billing information.
 - Membership Fees are non-refundable once charged.
 - Prices are subject to change with 15-day notice.
 - Returns for Refund (Outside Free Trials):
 - Purchased Devices (not Free Trial) must be returned within five (5) days of receipt to 2500 San Gabriel Street, Austin, TX 78705 and in original condition.
 - If not returned within 5 days, or returned damaged/not in original condition → $75 restocking fee applies.
 - Shipping costs are your responsibility.
 - Exchange Policy:
 - Free exchanges for unused Devices (e.g., different color) within the same 5-day window.
 
9. Warranty
- TIKKUN provides a lifetime warranty for manufacturing defects, valid only with an active paid Membership.
 - Warranty does not cover misuse, loss, cosmetic damage, or unauthorized modifications.
 - Warranty is non-transferable.
 
10. No Professional Advice
- Services are for productivity purposes only.
 - TIKKUN is not a medical or professional advisor.
 - Use at your own risk.
 
11. AI Technology
- Recommendations may use AI.
 - AI output may contain errors or bias.
 - Do not rely solely on AI output for decisions.
 
12. Changes to Services
- We may update, modify, or discontinue Services.
 - If material changes occur, you may cancel and request a pro-rated refund.
 
13. User Content
- You may submit content (focus plan inputs, etc.).
 - You grant TIKKUN a license to use content to provide Services.
 - You remain responsible for your content.
 
14. Limitation of Liability
- Liability is capped at $100 maximum.
 - No liability for indirect, incidental, or consequential damages.
 - Does not limit liability for fraud, negligence, or death/injury caused by us.
 
15. Indemnity
You agree to indemnify TIKKUN for any claims arising from your misuse, breach, or unlawful activity.
16. Dispute Resolution
- Binding arbitration under AAA Rules.
 - No class actions permitted.
 - Governed by Massachusetts law, venue Boston.
